Website and Service Terms

These terms govern use of unoui.co.uk. Additional order terms presented and accepted at checkout will govern a paid ARI™ engagement.

The website and services are operated by UNOUI LTD, trading as unoui™. UNOUI LTD is registered in England and Wales under company number 17362856. Its registered office is 12 Moorhey Road, Liverpool, United Kingdom, L31 5LQ.

2Using this website

You may use the website only lawfully. You must not interfere with its security or availability; attempt unauthorised access; introduce malicious code; scrape protected assessment or knowledge content; impersonate another person; or use the service to infringe rights or break the law.

We may suspend access where reasonably necessary to protect customers, systems, intellectual property or legal compliance.

3Information, not legal assurance

Public website content is general information. ARI is a structured business-readiness assessment based materially on information supplied by the customer. It is not legal advice, regulatory advice, financial advice, cybersecurity certification, statutory audit, conformity assessment or certification under ISO/IEC 42001 or any other standard.

Customers remain responsible for their decisions, compliance obligations, professional advice and implementation. References to laws, standards or guidance do not constitute a guarantee of compliance.

4ARI orders and contract formation

Displaying a service does not oblige us to accept an order. A contract is formed only when we issue written acceptance or payment confirmation, subject to any order-specific terms. The purchaser confirms that information supplied is accurate and that they have authority to act for the named organisation.

ARI is primarily offered business-to-business. If you purchase wholly or mainly outside a trade, business, craft or profession, mandatory consumer rights continue to apply and are not excluded by these terms.

5Price, payment and tax

The price and everything included will be shown before purchase. Unless expressly stated otherwise, the price is £3,500 for one ARI Executive Assessment engagement. UNOUI LTD is not currently registered for VAT, so no VAT is charged. If that status changes, the applicable checkout, Order Form or invoice will state the VAT treatment.

Payment is due in full by secure card checkout or bank transfer against an invoice unless agreed otherwise in writing. Work does not begin until cleared payment is received or UNOUI LTD confirms different credit terms in writing.

Stripe may process payment information under its own terms. We may withhold commencement or delivery while payment is outstanding or subject to a chargeback or fraud review.

6Cancellation and starting work

Business customers may cancel only as stated in the accepted order terms or written proposal. Any charge must reflect work performed, committed third-party costs and reasonably foreseeable loss, subject to applicable law.

If mandatory consumer cancellation rights apply to an online purchase, the customer will normally have 14 days to cancel. We will not begin the service during that period unless the customer makes an express request. If requested work begins and the customer then cancels, a proportionate amount may be payable for work supplied. Where the service is fully performed following the required express request and acknowledgement, the cancellation right may be lost. Nothing in these terms restricts a mandatory statutory right.

7Customer responsibilities

  • Provide complete, accurate and timely information and suitable organisational input.
  • Ensure respondents are authorised and avoid unnecessary personal or special-category data.
  • Review draft facts and notify us promptly of material inaccuracies.
  • Use outputs with appropriate professional judgement and obtain specialist advice where required.
  • Protect assessment links, accounts and reports against unauthorised access.

Timescales may move where required information, access or feedback is delayed.

8Delivery and review

Indicative delivery dates are estimates unless expressly agreed as binding. Deliverables may include scores, analysis, recommendations, a roadmap, an executive report and a review session as specified in the order. We may correct factual, calculation or production errors. Recommendations reflect the information and guidance available at the assessment date.

9Intellectual property and permitted use

UNOUI LTD retains ownership of the ARI methodology, questions, scoring logic, control library, templates, software, report design, know-how and pre-existing materials. Subject to full payment, the customer receives a non-exclusive, non-transferable licence to use its final report internally for its own governance, planning and board reporting.

The customer must not reproduce the assessment as a competing service; reverse engineer scoring; resell or publish substantial parts of protected materials; remove notices; or train another product or AI system on protected ARI content without written permission. The customer retains ownership of its supplied information.

10Confidentiality and data protection

Each party will protect the other's non-public confidential information and use it only for the engagement, except where disclosure is authorised or required by law. Personal information is handled as described in the Privacy Notice. If an engagement requires unoui to process personal data solely on a customer's behalf, the parties will put an appropriate data-processing agreement in place.

11Liability

Nothing excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Subject to that, neither party is liable for indirect or consequential loss, or loss of profit, revenue, anticipated savings, goodwill or business opportunity.

For a paid engagement, UNOUI LTD's aggregate liability arising from that engagement will not exceed the fees paid for it, except where a different cap is agreed in writing or the law prevents that limitation. This allocation reflects the nature and price of the assessment. Customers should maintain appropriate insurance and independent controls.

12Availability and third parties

We do not promise uninterrupted website availability. We may maintain, update or withdraw features. Links and third-party services are provided for convenience; their availability and terms are controlled by their providers.

13Ending an engagement

Either party may end an engagement where the other commits a material breach and, where capable of remedy, does not remedy it within a reasonable written period. We may suspend or end services immediately for unlawful use, security threats, fraud, non-payment or conduct creating material risk. Accrued payment, confidentiality, intellectual-property and liability provisions survive termination.

14General legal terms

If part of these terms is unenforceable, the remaining parts continue. Delay in enforcing a right is not a waiver. Neither party may transfer an engagement without consent, except UNOUI LTD may transfer it to an affiliate or as part of a genuine business transfer, subject to legal safeguards. No third party has enforcement rights unless expressly stated.

These terms and non-contractual disputes are governed by the law of England and Wales. Courts in England and Wales have jurisdiction, subject to any mandatory consumer right to use another court.

15Changes and contact

We may update website terms prospectively. Terms accepted for an existing paid order will not be changed retrospectively without a lawful basis or agreement. Questions can be sent to hello@unoui.co.uk.
